SUMMARY OF BASEMAKER'S TERMS AND CONDITIONS

Welcome to the Basemaker Platform (“Platform”). We present below a summary of the main terms and conditions regarding how you (“You”) can use our Platform and receive our Services (as defined below). For the purposes of this instrument, “Users” are all those who, in some way, use or visit the Basemaker Platform.

The Platform is developed and made available by Basemaker Soluções de Performance Digital Ltda., based in the City of Itajaí, State of Santa Catarina, at Rua Israel de Almeida, nº 1424, house 01, CEP 88.312-050 and registered with the CNPJ/ME under nº 23.123.163/0001-67 (“Basemaker” or “We”).

It is important that you understand our policies to have a better experience using the Platform, and therefore, it is necessary and suggested that you carefully read and understand the Terms (as defined below), as well as the clauses that allow contracting, highlighted below, and by accepting these Terms or using our Services, we consider that You have understood and accepted the Terms in all aspects:

1. Through its Platform, Basemaker provides an environment where digital content creators (“Creators”) can find advertising opportunities from advertisers (“Advertisers”) for their profiles and pages on social media (“Profiles”), and Advertisers can place ads for certain segments in the Creators' Profiles, aiming to increase the performance of digital campaigns (“Services”).

2. If You are under 18 (eighteen) years of age, You guarantee that you are properly represented or assisted by your legal representative.

3. Potential Advertisers can only advertise products or services if authorized by applicable laws to sell these products and provide these services, and if they have the products and capability in stock.

4. To use Basemaker's Services through the Platform, You must be aware of the terms of the Privacy Policy https://www.basemaker.co/policies/privacy, which contains clear and complete information about the collection, use, storage, handling, and protection of your personal data.

5. You must create a unique account (Access Account, as defined below), enter your email or phone number, and create a password that is personal and non-transferable. Basemaker is not responsible for improper use and disclosure of this data to third parties.

6. You, as a User, are solely responsible for the registration data provided. Providing false or incorrect information may subject the User to liability in civil, administrative, and criminal spheres, as provided by law.

7. Basemaker may refuse a registration request and notify or temporarily or permanently suspend your account if this registration, provided information, use of our Services, or conduct concerning us is considered a violation of any applicable laws, regulations, government policies, or terms and policies of Basemaker.

BY REGISTERING OR USING, IN ANY WAY, OUR SERVICES, YOU DECLARE THAT YOU HAVE READ AND AGREE TO THE TERMS AND CONDITIONS OF USE AND UNDERTAKE TO COMPLY WITH THEM IN THEIR ENTIRETY. BE AWARE THAT THE PROVISIONS HEREIN WILL REGULATE THE RELATIONSHIP BETWEEN YOU AND BASEMAKER.

GENERAL TERMS AND CONDITIONS

1. GENERAL
   1.1. Introduction and Scope. These Terms and Conditions (“Terms”) apply to the Services provided by Basemaker through the Platform https://app.basemaker.co.

You acknowledge that the Platform is an independent platform, providing an environment where Creators can find advertising opportunities from Advertisers for their Profiles, and Advertisers can place ads for certain segments in the Creators' Profiles, aiming to increase the performance of digital campaigns. You also acknowledge that, in the relationship established between You (as Advertiser or Creator) and the third party (Advertiser or Creator, as applicable), Basemaker will act exclusively and be considered by You and the third party (Advertiser or Creator, as applicable) as an intermediary application provider, which means our Services are limited to providing a platform for You (as Advertiser or Creator) and the third party (also as Advertiser or Creator, as applicable) to connect.

BY ACCESSING OR USING OUR SERVICES IN ANY WAY, INCLUDING, WITHOUT LIMITATION, VISITING OR BROWSING THE PLATFORM, CREATING AN ACCOUNT, OR CONTRIBUTING CONTENT OR OTHER MATERIALS TO THE PLATFORM, YOU UNDERSTAND, ACKNOWLEDGE, AND EXPRESSLY AGREE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS AND AGREE TO BE BOUND BY THESE TERMS FOUND ON THIS PLATFORM.

You are only authorized to use the Services if you agree to comply with all applicable laws to these Terms.

Additionally, you can read our Privacy Policy at any time to learn more about how Basemaker collects, stores, and protects your information when you use the Services.

1.2. Updates to the Terms. We reserve the right to modify the Terms at any time. We will publish the updated version of the Terms on the Platform, and prior notice will be provided via the email registered on the Platform if the modification pertains to any material change, restriction, or significant limitation of your rights under this instrument. The updates to these Terms will take effect on the date of their publication unless otherwise informed. By continuing to use our Services after any changes to the Terms, You agree to be bound by the modifications we make to these Terms and/or the contracts/policies that accompany them, including, among others, the Privacy Policy.

Furthermore, Basemaker may also terminate these Terms or any Services provided to You or, generally, stop offering or deny access to the Services or any part thereof, for any reason, by (1) sending prior communication to the email address registered on the Platform (i.e., as informed in the Access Account); and/or (2) notice at the time of access to the Platform.

It is possible that additional terms will apply only to certain Services – including, but not limited to, those mentioned in Clause 4 below. These additional terms will be disclosed prior to the contracting or provision of the respective Services. Additional terms are supplemental and considered an integral part of these Terms for the purposes of the respective Services. In case of conflict between the provisions of these Terms and the additional terms, concerning the referred Services, the additional terms will prevail, unless otherwise provided for in the additional terms.

1.3. Acceptance of the Terms. To use our Services, You need to be at least 18 years old. If you are 16 years old or younger, You will be represented by your parents and/or legal guardians regarding your use of our Services, and if you are over 16 but under 18, You will be assisted by your parents or legal guardians regarding your use of our Services. Access, browsing, or use of the Services indicates that You agree with all the terms and conditions of this instrument. If you disagree with any part of the Terms, You should immediately cease access to the Services or their respective use. Please read this instrument carefully before proceeding.

2. THE SERVICES
   2.1. Services. As stated above, Basemaker is a technology platform available at https://app.basemaker.co, created and developed to provide an environment where Creators can find advertising opportunities from Advertisers for their Profiles, and Advertisers can place ads for certain segments in the Creators' Profiles, aiming to increase the performance of digital campaigns (the Services).

The Platform allows Creators to provide anonymized data on engagement and audience interests, such as demographic information, interests, consumer behaviors, and preferences. Neither Creators nor the Platform provide personal data to Advertisers. Based on this anonymized engagement data, Advertisers can choose which audiences they wish to reach and thus create more relevant and personalized advertising campaigns, without ever accessing any user or follower data.

2.2. License. Subject to compliance with these Terms, Basemaker grants You a revocable, non-transferable, and non-exclusive license to access and use the Services, displaying them in your internet browser and for our Platform, solely for the enjoyment of the Services provided by Basemaker and its partner platforms. Violation of this provision (as well as this instrument) will result in the immediate revocation of the license granted in this Clause 2.2 without prior notice. Basemaker reserves the right to investigate and take appropriate legal action to stop any illegal and/or unauthorized use of the Services, the Platform, or violation of these Terms.

2.3. Services, Products, and Content from Creators. Advertising services eventually provided by Creators are provided independently, meaning without the participation of Basemaker. Basemaker shall not be liable in any event for any service provided by the Creator to the Advertiser. Similarly, Basemaker shall not be liable in any event for the Advertiser's hiring or any transaction related between Creator and Advertiser.

2.4. Ownership. The Services and all rights thereto are and will remain the property of Basemaker. These Terms and the use of the Services do not grant or confer any rights to You: (1) over the Services, except for the limited license granted by Clause 2.2 above; or (2) to use or, in any way, refer to business names, logos, product or Service names, trademarks, or service marks of Basemaker.

3. USE OF OUR SERVICES
   3.1 Statements. To use our Services, you declare:

a) that you will always keep your information updated on the Platform, taking responsibility for any result or damage arising from the falsity of your information or lack of updating;

b) to be solely responsible for the data provided, such that you assume criminal and civil liability for the truthfulness, completeness, currency, and accuracy of the information provided;

c) to be an individual over 18 years old (or duly represented or assisted by your legal representative), residing permanently in Brazil and registered with the Federal Revenue of Brazil, in the Cadastro de Pessoas Físicas (CPF); or to be a legal entity, legally constituted and headquartered in Brazil, regularly registered with the Cadastro Nacional de Pessoas Jurídicas (CNPJ) and represented by an individual, over 18 years old, residing permanently in Brazil and registered with the Federal Revenue of Brazil, in the Cadastro de Pessoas Físicas (CPF), demonstrably empowered to do so.

3.2 Restrictions and Limitations of Use. You may not: (1) remove any copyright notice, trademark right, or other proprietary notice from any part of the Services; (2) reproduce, modify, prepare derivative works, distribute, license, lease, sell, resell, transfer, display, broadcast, transmit, or otherwise exploit the Services, except as expressly permitted by Basemaker; (3) decompile, reverse engineer, or disassemble the Services, except as permitted by applicable law; (4) connect, mirror, or crop any part of the Services; (5) make or launch any programs or scripts with the purpose of overloading or unduly impairing the operation and/or functionality of any aspect of the Services; or (6) attempt to gain unauthorized access to the Services or impair any aspect of the Services or their related systems or networks.

Basemaker reserves the right to terminate Access Accounts (as defined below) at its discretion, including in cases where we have evidence that the User's conduct violates applicable law or is harmful to our interests.

You will not upload, distribute, or otherwise publish through the Services any content, information, or other materials that: (a) infringe or violate copyrights, patents, trademarks, service marks, trade secrets, rights of publicity or privacy, or other proprietary rights of any person; (b) constitute defamation, whether oral or written, are threatening, obscene, indecent, pornographic, or offensive, or could give rise to civil or criminal liability under local or international law; (c) violate the privacy, reputation, and honor of others; (d) violate applicable law or regulation; (e) are fraudulent, false, misleading or deceptive, including “trolling”; (f) promote discrimination, racism, hatred, harassment, or harm against any individual or group; (g) are violent, constitute bullying, or threaten or promote violence, terrorism, or threatening actions against
